TERMS & CONDITIONS
1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the services, applications, websites, software, APIs, products, and platforms operated by Ordrio Technologies Pvt Ltd (“Ordrio”, “we”, “us”, or “our”). These Terms apply to all Ordrio-operated services including merchant/admin panels, customer storefronts, mobile applications, delivery applications, APIs, integrations, and hosted subdomains. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Definitions
Platform means all Ordrio-operated websites, applications, services, APIs, software, dashboards, subdomains, and related systems.
Client means a business or organization using Ordrio services.
Store means a Client’s operational setup on the Platform.
Merchant means a Client or store operator using Ordrio to sell products or services.
Customer means an end-user purchasing from a Merchant through the Platform.
Delivery Partner means any rider, fleet operator, logistics partner, or delivery personnel using Ordrio systems.
User means any individual accessing or using the Platform.
Content means text, images, products, data, media, branding, files, or information uploaded to the Platform.
Addons means optional features or services that may be activated separately from a base subscription plan.
Ordrio Tokens means prepaid platform credits or wallet balance used for applicable platform charges.
3. Eligibility
You may use the Platform only if you are legally capable of entering into binding agreements, your use complies with applicable laws and regulations, and all information provided by you is accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities performed through your account.
4. Scope of Services
Ordrio provides software and infrastructure services for commerce, delivery, billing, customer management, inventory management, marketing, subscriptions, shipping, analytics, and related operations. Services may include eCommerce storefronts, POS and billing systems, delivery management, customer and merchant applications, payment and shipping integrations, APIs and automation, marketing and loyalty systems, analytics and reporting, multi-branch management, and subscription commerce functionality. Certain services, modules, features, or addons may require paid subscriptions, be country-specific, require third-party integrations, be in beta or limited release, or be available only on selected plans. We reserve the right to modify, suspend, discontinue, or update any part of the Platform at any time.
5. Platform Infrastructure
Ordrio operates on cloud infrastructure. Each Client may receive a unique subdomain, custom domain support, and separate operational settings. Clients are responsible for managing their external domain providers, maintaining DNS configurations, and renewing purchased domains. Ordrio is not responsible for failures caused by incorrect DNS setup, expired domains, third-party registrar issues, or external hosting interruptions.
6. Service Level & Uptime
The Platform is provided on an “as is” and “as available” basis. We make reasonable efforts to ensure Platform availability but do not guarantee uninterrupted access, zero downtime, or continuous availability. Maintenance, upgrades, infrastructure issues, internet failures, or force majeure events may affect access to services. Certain features may be temporarily disabled, deprecated, or modified without notice.
7. Merchant Responsibilities
Merchants are solely responsible for products and services offered, pricing accuracy, taxes and legal compliance, inventory accuracy, food safety and regulatory compliance, invoices and accounting obligations, delivery commitments, customer communication, refund handling, promotional campaigns, and all operational decisions made through the Platform. Ordrio does not assume liability for merchant products, merchant conduct, product quality, delayed fulfillment, stock inaccuracies, or customer disputes.
8. Customer Responsibilities
Customers agree to provide accurate information, use the Platform lawfully, not abuse offers or payment systems, not place fraudulent or fake orders, and not interfere with Platform operations. Merchants may reject orders, cancel orders, block accounts, restrict delivery, or refuse service subject to their operational policies.
9. Delivery & Logistics
Delivery timelines shown on the Platform are estimates only. Actual delivery performance may vary due to merchant processing time, traffic, weather, rider availability, courier delays, technical failures, or third-party logistics providers. Ordrio may facilitate delivery coordination but does not guarantee exact delivery times, uninterrupted tracking, rider availability, or courier performance.
10. Payments, Billing & Subscriptions
Certain services require subscription payments, addon purchases, or prepaid balances. By purchasing any service, you authorize Ordrio and its payment partners to process payments using your selected payment method. Subscription plans may include recurring billing, automatic renewals, usage-based charges, platform fees, addon billing, or token deductions. Refunds are evaluated on a case-by-case basis and are not guaranteed. Failure to maintain sufficient Ordrio Token balance may result in order blocking, shipping restrictions, feature suspension, or service limitations.
11. Account Inactivity
Accounts inactive for six (6) months may be blocked. Accounts inactive for one (1) year may be permanently deleted. We may send advance notice before blocking or deleting inactive accounts where contact information is available.
12. Third-Party Services
The Platform may integrate with third-party providers including payment gateways, shipping providers, SMS providers, WhatsApp providers, email providers, social login providers, analytics systems, and cloud infrastructure vendors. Ordrio is not responsible for outages, interruptions, API failures, pricing changes, data loss, or operational failures caused by third-party providers. Your use of third-party services may also be governed by their own terms and privacy policies.
13. User Content
You retain ownership of content uploaded by you. By uploading content to the Platform, you grant Ordrio a worldwide, non-exclusive license to host, store, process, display, reproduce, and distribute such content solely for operating and improving the Platform. You are solely responsible for ensuring that your content does not violate laws, does not infringe intellectual property rights, does not contain malicious code, and does not contain unlawful or prohibited material. We may remove content that violates these Terms.
14. Acceptable Use
You agree not to reverse engineer the Platform; scrape or extract data without permission; interfere with platform security; overload systems or APIs; distribute malware; bypass feature restrictions; attempt unauthorized access; abuse promotional systems; create fraudulent transactions; impersonate others; or use the Platform for unlawful purposes. Violation of this section may result in immediate suspension or termination.
15. Data, Privacy & Security
Your use of the Platform is subject to our Privacy Policy. Ordrio may collect and process account information, device information, operational logs, analytics, usage metrics, location data, transaction data, and communication records for operational, security, billing, analytics, and service improvement purposes. While we implement reasonable security measures, no system can guarantee absolute security.
16. Backups & Data Responsibility
We maintain our own backups for operational continuity. However, Clients are responsible for maintaining their own copies of critical business data. Ordrio does not guarantee recovery of data lost due to user actions, system failures, or force majeure events.
17. Data Export
You may request a copy of your data by contacting [email protected]. We will provide data exports in commonly used formats upon request, subject to verification of your identity and authorization.
18. Intellectual Property
All Platform software, systems, branding, designs, workflows, APIs, content, logos, trademarks, and proprietary technology are owned by Ordrio or its licensors. You may not copy, reproduce, modify, distribute, resell, or commercially exploit any part of the Platform without written permission.
19. Suspension & Termination
We may suspend, restrict, or terminate access to the Platform at any time if these Terms are violated, fraudulent activity is detected, payment obligations are unpaid, abuse or operational risk is identified, or required by law. Termination may result in loss of access, deletion of data, feature restrictions, or service suspension. Certain records may continue to be retained for legal, compliance, operational, tax, or audit purposes.
20. Reporting Abuse
To report abuse, fraudulent activity, security vulnerabilities, or Terms violations, please contact [email protected] with relevant details. We will investigate reports and take appropriate action.
21. Limitation of Liability
To the maximum extent permitted by law, Ordrio shall not be liable for indirect damages, loss of profits, loss of revenue, data loss, operational interruptions, reputational damage, delivery failures, customer disputes, or third-party failures. Ordrio’s total liability arising from the use of the Platform shall not exceed the amount paid by you to Ordrio during the previous three (3) months.
22. Indemnification
You agree to indemnify and hold harmless Ordrio Technologies Pvt Ltd, its directors, employees, affiliates, contractors, and partners from claims, liabilities, losses, damages, and expenses arising from your use of the Platform, your violation of these Terms, your products or services, your content, or your violation of applicable laws.
23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Courts located in Karnataka, India shall have exclusive jurisdiction over disputes arising from these Terms.
24. Changes to Terms
We may update these Terms from time to time. Updated Terms become effective upon publication on the Platform. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
